1. Acceptance of Terms

By accessing or using SPIPUS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these terms.

2. Description of Service

SPIPUS is a web-based platform that provides scheduling, staff management, payroll processing, invoicing, and related workforce management tools. The Service includes optional integrations with third-party services such as Google Calendar and push notification delivery.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and complete information when creating an account.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • Company administrators are responsible for managing their team members' access and permissions.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to other users' accounts or company data.
  • Interfere with or disrupt the Service or its infrastructure.
  • Upload malicious code, viruses, or harmful content.
  • Use the Service to store or transmit content that infringes on others' intellectual property rights.
  • Reverse engineer, decompile, or disassemble any part of the Service.

5. Data Ownership

All data entered into the Service by a company and its staff (including schedules, employee information, payroll data, and invoices) remains the property of that company. We do not claim ownership of your data. You grant us a limited license to use your data solely for the purpose of providing and improving the Service.

6. Service Availability

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We may perform maintenance, updates, or experience downtime without prior notice. We do not provide a formal Service Level Agreement (SLA).

7. Limitation of Liability

To the maximum extent permitted by law, SPIPUS and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

8. Termination

You may stop using the Service at any time. Company owners can delete their company and all associated data from the Settings page.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms. Upon termination, your right to use the Service ceases immediately.

9. Changes to Terms

We may update these Terms of Service from time to time. We will notify users of significant changes via the application or email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
